These terms govern the relationship between David Hill, trading as Hyperwoven ("we", "us"), and any person or organisation ("you", "the client") engaging our services.
Scope of services
The scope of each project is agreed in writing before work begins, typically via a project proposal or statement of work. Work outside the agreed scope requires a separate written agreement and may be quoted additionally.
Payments
- Projects are invoiced at agreed milestones as set out in the project proposal.
- Invoices are due within 14 days of issue unless otherwise agreed in writing.
- Late payments may incur interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts Act 1998.
- Work may be paused on projects with overdue invoices until payment is received.
Intellectual property
On receipt of full payment, all intellectual property rights in deliverables transfer to you. Until full payment is received, Hyperwoven retains all rights. We reserve the right to display completed work in our portfolio unless you request otherwise in writing before the project begins.
Client responsibilities
You are responsible for providing accurate information, content, and feedback in a timely manner. Delays caused by late client response may affect project timelines and, in extended cases, may require re-scoping.
Third-party services
Where projects require third-party services (hosting, domain registration, software licences), any costs are either passed through at cost or noted in the project proposal. Hyperwoven is not responsible for failures of third-party services outside our control.
Accessibility compliance
We build to WCAG 2.2 AA as standard. Compliance is verified at handover. We are not responsible for accessibility regressions introduced by client-side content changes after handover unless covered by a support agreement.
Limitation of liability
Our liability is limited to the total fees paid for the relevant project. We are not liable for indirect, consequential, or economic losses arising from our services.
Termination
Either party may terminate a project with 14 days written notice. Work completed to the point of termination is invoiced at the agreed project rate, prorated to milestone stage. Deposits are non-refundable.
Governing law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
